1. Acceptance & Identification
These Terms of Service (“Terms”) govern your access to and use of the website operated by Teto Distribuidora Ltda (trade name: Ceiling Distributor), Limited Liability Company, CNPJ 24.839.344/0001-57, headquartered at RS, 351 - Block 10 Lot 05, UNION SECTOR V, Gurupi - TO, 77.413-785, Brazil, email tetodistribuidoraltda@ourltd.com, phone (63) 3312-0044 (“Company”, “we”, “us”).
By browsing the site, submitting a form, requesting a quote, or engaging our wholesale, retail or freight services, you accept these Terms and our Privacy Policy. If you do not agree, do not use the site.
2. Business Activities & Eligibility
Our primary and secondary activities as registered with the Federal Revenue of Brazil include:
- 46.79-6-99 — Wholesale trade of general construction materials (main activity)
- 46.74-5-00 — Wholesale trade of cement
- 46.72-9-00 — Wholesale trade of hardware and tools
- 47.44-0-99 / 47.44-0-04 / 47.44-0-01 — Retail trade of construction materials, lime/sand/stone/bricks/tiles, and hardware/tools
- 49.30-2-02 — Road freight transport, except hazardous products (intercity/interstate/international)
Services are intended for business customers, contractors and adult consumers. You must be at least 18 years old and have legal capacity to enter contracts. All information you provide must be accurate and current.
3. Quotes, Orders & Pricing
3.1 Quotes
Quotes provided via the website, email or phone are non-binding estimates valid for the period stated (or 7 days if not stated) and subject to stock availability and freight conditions.
3.2 Orders
An order becomes binding only upon our written confirmation (email or signed proposal) and, where applicable, receipt of advance payment or approved credit.
3.3 Pricing & Taxes
Prices are quoted in Brazilian Reais (BRL) unless otherwise specified, exclusive of ICMS, PIS/COFINS, IPI, freight and insurance where not expressly included. We reserve the right to correct pricing errors and to adjust prices for market fluctuations in cement, steel and aggregates.
3.4 Payment
Payment terms are as agreed per proposal/invoice. Late payment incurs monetary correction (IPCA), 2% penalty and 1% monthly interest pro rata, plus collection costs, as permitted by law.
4. Delivery & Freight
Delivery timeframes are estimates. Title and risk transfer upon delivery to the carrier or, for pickup orders, upon hand-over. For road freight services, liability is governed by the applicable transport contract and Brazilian law (Law 11.442/2007 where relevant). The customer is responsible for ensuring site access, unloading conditions and required permits.
Delays due to force majeure, road interdiction, weather, or supplier shortage do not constitute breach; we will communicate revised timelines promptly.
5. Returns, Shortages & Warranty
- Inspect goods upon delivery. Visible shortages or damages must be noted on the delivery receipt and reported within 48 hours to tetodistribuidoraltda@ourltd.com with photos and invoice number.
- Defective industrialized products are covered by manufacturer warranty; we will assist with the claim process.
- Custom-cut, bulk aggregates, cement near expiry and correctly fulfilled orders are not eligible for return unless required by the Brazilian Consumer Defense Code (Law 8.078/1990) for consumer transactions.
6. Acceptable Use
You agree not to:
- Use the site for any unlawful, misleading or fraudulent purpose
- Attempt to gain unauthorized access, scrape, or interfere with site security or availability
- Upload malware or infringe intellectual property rights
- Impersonate any person or misrepresent affiliation
We may suspend access for violations or legal requirements.
7. Intellectual Property
All content on this site — text, graphics, logos, layout, and the “TETO DISTRIBUIDORA” and “CEILING DISTRIBUTOR” names — is owned by the Company or its licensors and protected by Brazilian Law 9.610/1998 and related IP laws. No license is granted except to view the site for personal/business evaluation. Reproduction without written permission is prohibited.
8. Disclaimers
The site and information are provided “as is” and “as available”. While we strive for accuracy, we do not warrant that product descriptions, stock status, pricing or other content is error-free, complete or current. Technical advice provided is for general information and does not replace project-specific engineering assessment.
Construction materials must be stored and applied per manufacturer instructions and applicable ABNT standards. Follow safety data sheets for cement, lime and related products.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our aggregate liability for any claim arising from the site or services is limited to the amount paid by you for the specific order giving rise to the claim in the 3 months preceding the event.
- We are not liable for indirect, incidental, consequential, loss of profit, or punitive damages.
- Nothing limits liability for willful misconduct, gross negligence, or where prohibited by the Consumer Defense Code.
10. Indemnification
You agree to indemnify and hold harmless the Company, its partners and employees from claims, damages, costs (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of the site, or violation of law or third-party rights.
11. Privacy & Data Protection
Data processing is governed by our Privacy Policy, compliant with LGPD, GDPR and applicable CCPA provisions. By using the site you consent to processing as described therein.
12. Termination
We may terminate or suspend access to the site at any time for breach, legal compliance or operational reasons. Sections 7–14 survive termination.
13. Governing Law & Disputes
These Terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from the site or services shall be submitted to the courts of Gurupi, State of Tocantins, Brazil, with waiver of any other forum, however privileged, without prejudice to consumer rights under Art. 101 of the Consumer Defense Code where applicable.
